A. Introduction Welcome to the Geomancy.Net Services! We start every new Subscriber relationship with a contract. The Geomancy.Net Services (hereinafter collectively referred to as "Geomancy Service") is provided by Dyn Pte Ltd ("Kappvest") to you ("the Subscriber"). The Agreement spells out what the Subscriber can expect from us, and what we expect from the Subscriber. If you agree to what you read below, you should proceed to create your Member account to acknowledge that you have agreed. Upon such acknowledgement, you will be bound by this Agreement. B. Access and Services The Subscriber has access to the various free services (determined by Geomancy.Net) which is made available to all Subscribers. The Subscriber will only have access to paid service depending on which packages you have selected when you have made an online payment. You may change your account at any time. We reserve the right to modify, suspend or terminate access to the service on our system at any time for any reason without notice or refund, including the right to require you to change your login identification code or password. We also reserve the right at any time for any reason without notice or refund, to delete all program and data files associated with the Subscriber's account and/or all other information the Subscriber has on our system. We shall not be liable for any damages, losses, cost or expenses howsoever caused by or arising out of the aforesaid, to you or to any other individuals. C. System Rules The Subscriber agrees to be bound by certain rules which are important for the proper use of the Geomancy Service. The Subscriber's failure to follow these rules, whether listed below in the contract or in bulletins posted at various points in the system, may result in termination of the service. First, do not tell others your password or let your account be used by anyone except yourself. Second, do not distribute any products such as books, course or any copyright materials which are provided by us to you, to any other third party. Third, you are not to forward, reuse, resell, re-brand or otherwise use, any of our services to/for other party without our prior written consent. D. Fees and Payment All Subscriber will be given access to their services through the use of a universal account. The Subscriber is free to access all free services provided by Geomancy Service. The length of access to these services and paid service depends on the type of service the Subscriber has selected. We reserve the right to change our fees at any time for any reason, but, whenever possible, we will give you at least one month's advance notice of such change for subscription based services. E. Termination by Subscriber The Subscriber can terminate the account at any time by notice delivered via e-mail to customer service Support Page, without refund for any paid services, and will remain liable for all charges accrued up to that time. Termination shall take effect immediately after we receive the termination notice and have disabled the account. F. Privacy Considerations Your communications on the Geomancy Service are, in most cases, viewed only by you and anyone to whom you address your message. All information provided by you to Geomancy Service is viewed only by you and persons that you gave access to. However, as system operators, we may need to review or monitor your account from time to time. We will use reasonable diligence to maintain the confidentiality of e-mail and account profiles, but the Subscriber acknowledges that third parties may attempt to breach the confidentiality of e-mail which is out of our control. G. Proprietary Rights Your use of Geomancy Service remains within our exclusive proprietary control. We or our suppliers own the intellectual property rights to any and all protectable components of Geomancy Service and our system, including but not limited to the computer software, the related documentation, the "look and feel," the end-user interfaces, the name of our system, many of the individual features, and the collective works consisting of sequences of all public messages from our system. You may not reproduce any sequence of messages from Geomancy Service or our system either electronically or in print, without our prior permission. In addition, you may not copy, modify, adapt, reproduce, translate, distribute, reverse engineer, de-compile or dissemble any aspect of the system which we or our suppliers own. H. Limitation of Liability You must bear the risk of any liability relating to your use of Geomancy Service. YOUR USE OF GEOMANCY SERVICE IS ENTIRELY AT YOUR SOLE RISK. WE WILL NOT BE RESPONSIBLE TO YOU OR ANY THIRD PARTIES FOR ANY DIRECT OR INDIRECT, CONSEQUENTIAL, SPECIAL OR PUNITIVE DAMAGES OR LOSES YOU MAY INCUR IN CONNECTION WITH OUR SERVICE, YOUR USE THEREOF OR ANY OF THE DATA OR OTHER MATERIALS TRANSMITTED THROUGHT OR RESIDING ON OUR SYSTEM, REGARDLESS OF THE TYPE OF CLAIM OR THE NATURE OF THE CAUSE OF ACTION, EVEN IF WE HAVE ADVISED OF THE POSSIBILITY OF SUCH DAMAGE OR LOSS. I. Indemnity You shall defend, indemnify and hold harmless Kappvest, its directors, officers, successors, distributors,agents and assigns from and against any and all claims, proceedings, damages, injuries, liabilities, losses, costs and expenses (including legal fees), relating to any acts by you or materials or information transmitted by you in connection with Geomancy Service, leading wholly or partially to claims against us or our system by other Subscribers or third parties, regardless of the type of claim or the nature of the cause of action. You further agree to provide prompt notice to us of any complaints, claims or other actions made, threatened or initiated against you in connection with or as a result of its receipts of the Geomancy Service under this Agreement. J. Disclaimers of Warranty GEOMANCY SERVICE IS PROVIDED "AS IS" AND WE MAKE NO WARRANTIES, EXPRESS OR IMPLIED, AS TO THE MERCHANTABILITY, FITNESS FOR A PARTICULAR USE OR PURPOSE, TITLE, NON-INFRINGEMENT OR ANY OTHER WARRANTY, CONDITION, GUARANTY, OR REPRESENTATION, WHETHER ORAL, IN WRITING OR IN ELECTRONIC FORM, INCLUDING BUT NOT LIMITED TO THE ACCURACY OR COMPLETENESS OF ANY INFORMATION CONTAINED THEREIN OR PROVIDED BY THE SERVICE. K. Choice of Law You agree that this Agreement shall for all purposes be governed by and construed in accordance with the laws of the Republic of Singapore, and that any action arising out of this Agreement shall be litigated and enforced under the laws of the Republic of Singapore. In addition, you agree to submit to the jurisdiction of the courts of the Republic of Singapore, and that any legal action pursued by you shall be within the exclusive jurisdiction of the courts of the Republic of Singapore. L. Severability The Agreement may not be assigned by you hereto without our written consent. A failure to enforce, for whatever reason, any of the terms and conditions herein or part thereof by us shall not affect or render void, invalid or unenforceable any of the other provisions of this Agreement. M. Acts of God You understand and agree that we shall not have any liability whatsoever or be deemed to be in default of any delay, loss or failure in performance under this Agreement resulting from acts beyond our control, including without limitation acts of God, acts of regulations of any governmental or supra-national authority, war or national emergency, accident, fire, lighting, equipment failure, computer software malfunction, electrical power failure, telecommunication line failure, riot, strikes, lock-outs, industrial disputes (whether or not involving Kappvest personnel or employees), hostilities, or any transactions entered into through the service or any circumstances which we could not reasonably foresee and provide against. N. Acknowledgement This Agreement represents the entire understanding between you and us regarding your relationship to Geomancy Service and supersedes any prior statements or representations.
